Michael Winn
Chairman

Mr. Winn is currently President of Terrasearch Inc, a consulting company that provides investment and financial services to companies operating in the oil & gas, mining, and energy sectors. Mr. Winn also owns a management company (Seabord Services Corp) in Canada that provides corporate and management services to private and public ventures operating in the resource sector. Prior to forming Terrasearch in 1997, Mr. Winn spent four years as an analyst for a Southern California based brokerage firm where he was responsible for the evaluation of emerging oil and gas, and mining companies. Mr. Winn has worked in the oil and gas industry since 1983 and the mining industry since 1992. He is a director and officer of several public companies in the resource sector that operate in Canada, United States, Latin America, Europe and Africa. Mr. Winn has completed graduate course work in accounting and finance, and received his B.S. in geology from the University of Southern California.

Kevin Bambrough
Chief Executive Officer, President, Director

Mr. Bambrough founded Sprott Resource Corp. in September 2007. He is a seasoned financial executive with more than a decade of investment industry experience and is a recognized leader in the commodity investing space. Since 2009, Mr. Bambrough has also served as President of Sprott Inc., one of Canada’s leading asset managers with more than $5 billion in assets under management. Between 2003 and 2009, he held a number of positions with Sprott Asset Management, including Market Strategist, a role in which he devoted a significant portion of his time to examining global economic activity, geopolitics, and commodity markets in order to identify new trends and investment opportunities for Sprott Asset Management’s team of portfolio managers. Over the years, Mr. Bambrough has been a contributing writer and editor to Sprott Asset Management’s Markets at a Glance and Special Reports.

Eric Sprott, CA
Director

Mr. Sprott has accumulated more than 35 years of experience in the investment industry, founding Sprott Securities Inc. in 1981. While at Sprott Securities Inc., Mr. Sprott supervised all aspects of the business, serving as Chief Executive Officer, President, Director of Investment Strategy, and Chairman of the Risk Management Committee. After establishing Sprott Asset Management Inc. in December 2001 as a separate entity, Mr. Sprott divested his entire ownership of Sprott Securities Inc. to its employees. Mr. Sprott is currently the Chairman and Chief Investment Officer of Sprott Inc. and is the portfolio manager responsible for Sprott Hedge Fund L.P., Sprott Hedge Fund L.P. II, Sprott Offshore Fund, Sprott Canadian Equity Fund, Sprott Energy Fund, Sprott Bull/Bear RSP Fund and the Sprott Managed Accounts. Mr. Sprott graduated with a Bachelor of Commerce from Carleton University in 1965 and was awarded an Honorary Doctorate from Carleton University in 2003. Mr. Sprott received his Chartered Accountant designation in 1968.

John Embry
Director

Mr. Embry has served as Chief Investment Strategist of Sprott Asset Management LP since 2003, focusing on the Sprott Gold and Precious Minerals Fund and the Sprott Strategic Offshore Gold Fund Ltd. Mr. Embry has researched the gold sector for more than 30 years and has accumulated industry experience as a portfolio management specialist since 1963. After graduating from the University of Manitoba with a Bachelor of Commerce degree, Mr. Embry began his investment career as a Stock Selection Analyst and Portfolio Manager at Great West Life. He later became Vice President of Pension Investments for the firm, where he served for a total of 23 years. Mr. Embry has also held the position of Vice-President, Equities and Portfolio Manager at RBC Global Investment Management.

Terrence A. Lyons
Director

Terry Lyons is Chairman, Northgate Minerals Corporation. Northgate operates the Kemess Mine in Northern British Columbia, is developing the Young Davidson project in Ontario, and has recently acquired two operating gold mines in Australia. He is a director of several public (including Sprott Resource Corp.; Polaris Minerals Corporation; Farallon Mining Ltd.; EACOM Timber Corporation) and private corporations and currently serves as the Lead Director and Chairman of the Audit Committee of Canaccord Genuity.

Terry is a civil engineer (UBC) with an MBA from the University of Western Ontario. He sits on the Advisory Board of the Richard Ivey School of Business and is active in sports and charitable activities, is a past Governor of the Olympic Foundation of Canada, past Chairman of the Mining Association of BC and in 2007 was awarded the INCO Medal by the Canadian Institute of Mining and Metallurgy for distinguished service to the mining industry.

A. Murray Sinclair
Director

Mr. Sinclair is currently the Chairman and a director of Quest Capital Corp., a mortgage investment corporation listed on the TSX and NYSE AMEX. Prior to his current position, Mr. Sinclair also served as Co-Chairman and Managing Director. Mr. Sinclair has extensive knowledge in areas of asset backed lending, real estate, corporate restructuring and natural resources. He is also a director and officer of several other public companies. Mr. Sinclair received his Bachelor of Commerce degree from Queen's University.
